Before you publish this as binding: this is a standard starting draft covering the clauses a DOOH/ad-tech service like this typically needs, written from the product's actual behavior (subscriptions, proof-of-play, screen network). It has not been reviewed by a lawyer and should be before you rely on it — jurisdiction-specific requirements (consumer protection, data protection/DPDP Act obligations, GST invoicing language) aren't something I can certify as correct or complete.

These Terms & Conditions ("Terms") govern access to and use of the Signtral platform, dashboard and screen network (the "Service"), operated by Signtral Technologies Private Limited ("Signtral", "we", "us"). By creating an account, booking a slot, or using the Service, you ("Customer", "you") agree to these Terms.

1. The Service

Signtral operates a network of digital screens, standees and billboards and provides a dashboard for booking advertising slots, uploading creative, and viewing proof-of-play reporting. Screen availability, network coverage and specific hardware are subject to change without affecting bookings already confirmed.

2. Accounts

You're responsible for the accuracy of the information on your account and for all activity under your login credentials. Notify us immediately at info@signtral.in if you suspect unauthorized access.

3. Subscriptions, Slots & Payment

Slot assignments are billed according to the plan and duration selected at checkout or agreed in a signed order.
Fees are due in advance of the billing period unless otherwise agreed in writing.
Failure to pay may result in suspension of active slot assignments until the account is brought current.
Prices are exclusive of applicable taxes (including GST) unless stated otherwise.

4. Your Content

You retain ownership of the creative you upload. By uploading content, you grant Signtral a license to display, transcode, store and transmit it solely to deliver the Service. You represent that your content does not infringe any third party's rights and complies with applicable advertising standards and law. Signtral may refuse or remove content that appears unlawful, infringing, or in breach of these Terms.

5. Proof of Play & Reporting

Proof-of-play data is generated by automated frame-sampling and schedule cross-checks. We credit back plays that our verification confirms did not deliver as scheduled. Reporting is provided as a good-faith operational record, not an audited financial statement, and reflects the verification methodology in place at the time each play ran.

6. Network Availability

We work to keep the screen network online and syncing, but screens depend on third-party connectivity, power, and physical premises Signtral does not always control. We do not guarantee uninterrupted uptime for any individual screen and are not liable for downtime caused by factors outside our reasonable control (network outages, premises access, force majeure).

7. Acceptable Use

You may not use the Service to distribute unlawful, defamatory, or fraudulent content; attempt to access accounts or data that isn't yours; or interfere with the platform's normal operation.

8. Intellectual Property

The Signtral platform, dashboard, branding and underlying software are the property of Signtral Technologies Private Limited. Nothing in these Terms transfers ownership of our platform or technology to you.

9. Termination

Either party may terminate an account for convenience with written notice, subject to any minimum term agreed at signup. We may suspend or terminate immediately for breach of these Terms, non-payment, or unlawful use of the Service.

10. Disclaimer & Limitation of Liability

The Service is provided "as is." To the maximum extent permitted by law, Signtral is not liable for indirect, incidental, or consequential damages arising from use of the Service. Our total liability for any claim is limited to the fees paid by you for the affected slot(s) in the three months preceding the claim.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after an update constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of India, and disputes are subject to the exclusive jurisdiction of the courts of Telangana.
